IMPORTANT CLINICAL DISCLAIMER — READ BEFORE USE Code Blue Hero is a clinical coordination and decision-support tool. It does NOT replace clinical judgment, physician orders, ACLS certification, or institutional protocols. Bedside Flow LLC assumes no liability for patient outcomes. Users are responsible for all clinical decisions made during emergency events.
By downloading, installing, accessing, or using the Code Blue Hero mobile application or web application (collectively, the “Platform”) operated by Bedside Flow LLC (“Company,” “we,” “us,” or “our”), you (“User”) agree to be bound by these Terms of Service (“Terms”). If you are accessing the Platform on behalf of a healthcare institution, employer, or organization, you represent that you have authority to bind that entity, and these Terms apply to it.
If you do not agree to these Terms, do not use the Platform.
The Platform is intended solely for use by:
You represent and warrant that you meet all eligibility requirements. Bedside Flow LLC reserves the right to terminate access for any User who does not meet these criteria.
Code Blue Hero is a real-time cardiac arrest team coordination platform. Its functions include:
Code Blue Hero is a decision-SUPPORT tool. It does not diagnose, treat, or prescribe. It does not replace physician orders or ACLS certification. It does not constitute medical advice. All clinical decisions are solely the responsibility of the licensed clinician.
The Platform does not:
Subject to your compliance with these Terms, Bedside Flow LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Platform solely for your authorized clinical and institutional purposes.
You may NOT:
All content, features, functionality, software, source code, protocol logic, brand elements, trademarks, service marks, trade dress, and all other intellectual property on or in the Platform are the exclusive property of Bedside Flow LLC or its licensors. These Terms do not grant you any ownership rights.
The Protocol-Aware Timer system incorporated into Code Blue Hero is subject to a provisional patent application filed by Bedside Flow LLC. Unauthorized reproduction, imitation, or commercial exploitation of this technology is prohibited.
“Code Blue Hero,” “Bedside Flow,” and associated logos are trademarks of Bedside Flow LLC. Use of these marks without written permission is prohibited.
Any suggestions, feedback, or ideas you submit about the Platform may be used by Bedside Flow LLC without restriction or compensation to you.
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify Bedside Flow LLC immediately of any unauthorized use of your account. Bedside Flow LLC is not liable for any loss arising from unauthorized access due to your failure to safeguard credentials.
Healthcare institutions that deploy Code Blue Hero under a pilot, contract, or subscription arrangement are responsible for provisioning, deprovisioning, and managing user access for their personnel. The institution’s designated administrator bears responsibility for ensuring only authorized, credentialed staff are granted access.
The Platform is designed for individual, single-session use per event. Role assignments and session data are tied to a single active session. Attempts to share sessions or circumvent session controls may result in immediate termination of access.
Code Blue Hero is designed as a HIPAA-compliant platform. Bedside Flow LLC operates as a Business Associate where PHI is processed on behalf of a Covered Entity. A Business Associate Agreement (BAA) is required prior to any institutional deployment involving PHI.
To the extent the Platform processes, stores, or transmits Protected Health Information (“PHI”) as defined under HIPAA (45 CFR Parts 160 and 164), Bedside Flow LLC will do so only pursuant to an executed Business Associate Agreement (“BAA”) with the applicable Covered Entity.
Bedside Flow LLC applies the minimum necessary standard to any PHI accessed through the Platform. Post-code documentation exports are scoped to clinical event data only.
The Platform utilizes offline-first local data storage architecture. Event data may be temporarily stored on-device. Users and institutions are responsible for ensuring device-level security (screen lock, device encryption) consistent with their institutional security policies.
Where Epic EHR write-back integration is configured, data is transmitted via SMART on FHIR protocol and mapped to FHIR R4 resources. Integration is subject to institutional configuration, Epic API terms, and the executed BAA. Bedside Flow LLC is not responsible for data mapping errors resulting from institutional Epic configuration outside of our control.
Users must not enter PHI into the Platform unless their institution has executed a BAA with Bedside Flow LLC and the deployment has been configured for PHI handling. Users bear responsibility for unauthorized PHI entry in non-BAA deployments.
Use of the Platform is also governed by Bedside Flow LLC’s Privacy Policy, incorporated herein by reference. By using the Platform, you consent to the data practices described in the Privacy Policy, including collection of usage analytics, device information, session logs, and (where a BAA is in place) clinical event data.
We do not sell personal data. We do not use your data to train machine learning models without explicit written consent.
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND — EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. BEDSIDE FLOW LLC EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF CLINICAL CONTENT.
Bedside Flow LLC does not warrant that:
You assume all risk associated with use of the Platform in clinical settings. Bedside Flow LLC makes no guarantees regarding patient outcomes.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEDSIDE FLOW LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF LIFE, PATIENT HARM, LOST DATA, LOST REVENUE, OR LOSS OF GOODWILL — ARISING OUT OF OR IN CONNECTION WITH USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall Bedside Flow LLC’s total aggregate liability to any User or institution exceed the greater of (a) the total fees paid by such User or institution to Bedside Flow LLC in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, liability is limited to the minimum extent permitted by law.
You agree to indemnify, defend, and hold harmless Bedside Flow LLC and its officers, directors, employees, contractors, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Code Blue Hero is a clinical workflow and coordination tool and is not currently classified as a medical device under 21 CFR Part 880 or related FDA guidance. The Platform does not interpret diagnostic data or make autonomous clinical decisions. All protocol logic is deterministic and derived from published AHA 2025 guidelines. Bedside Flow LLC will monitor FDA guidance on clinical decision support software and update this designation as required.
Protocol logic within the Platform is based on the American Heart Association’s 2025 ACLS guidelines. Bedside Flow LLC does not represent or warrant an official endorsement by the AHA. Users are responsible for ensuring their institution’s code blue protocols align with or supersede the AHA guidelines implemented in the Platform.
Use of the Platform does not modify, expand, or supersede any User’s professional scope of practice as defined by applicable state licensing boards. Users are solely responsible for practicing within their licensed scope.
Institutions participating in a pilot program (including but not limited to the Advocate Aurora Health System pilot) are subject to these Terms in addition to any separate Pilot Agreement. In the event of conflict, the Pilot Agreement controls with respect to data sharing, deployment scope, and success metrics. These Terms govern all other matters.
Pilot participation does not create an obligation by Bedside Flow LLC to provide continued access beyond the agreed pilot term, nor does it create an obligation for the institution to purchase a subscription.
You may stop using the Platform at any time. To request deletion of your account and associated data, contact privacy@codebluehero.org.
Bedside Flow LLC may suspend or terminate your access at any time, with or without cause, including for violation of these Terms, non-payment, or at the request of your institution. We will endeavor to provide reasonable notice except in cases of material breach, security threats, or regulatory requirement.
Upon termination, your license to use the Platform immediately ceases. Sections 5, 7, 9, 10, 11, 15, and 16 survive termination.
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with arbitration conducted in DuPage County, Illinois. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST BEDSIDE FLOW LLC. All claims must be brought in your individual capacity.
Notwithstanding the arbitration clause, Bedside Flow LLC may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or prevent irreparable harm.
These Terms, together with the Privacy Policy and any executed BAA or Institutional Agreement, constitute the entire agreement between you and Bedside Flow LLC regarding the Platform and supersede all prior agreements.
If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable. All other provisions remain in full force.
Failure by Bedside Flow LLC to enforce any provision of these Terms shall not constitute a waiver of that provision.
You may not assign your rights under these Terms without our prior written consent. Bedside Flow LLC may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
Bedside Flow LLC may update these Terms from time to time. We will notify Users of material changes via in-app notification or email at least 30 days before the effective date of changes. Continued use after the effective date constitutes acceptance of the updated Terms.
Bedside Flow LLC is not liable for failure to perform due to causes beyond its reasonable control, including natural disasters, network outages, government actions, or pandemics.
